Best-efforts obligation: The Provider undertakes to deploy all professional means towards the completion of the assignment. This is not an obligation of guaranteed result within a fixed timeframe, as recruitment depends in particular on the availability of profiles on the market.
Article 3 - Fees and payment terms
2026 fee schedule
Of the annual gross package, for one role. Mandate entrusted on an exclusive basis.
One-third deposit at launch, deducted from the final invoice; balance on signature of the offer of employment
Of the annual gross package, per role from two similar roles, assigned together : roles of the same function and the same level, covered by a single mandate. Two different roles each remain at 25 %.
Same schedule, role by role: one-third deposit at launch, balance on each signed offer of employment
Calculation basis
Fees are calculated on the annual gross package of the candidate hired, including:
- • Annual gross fixed salary
- • Target variable pay (bonus, premiums, profit-sharing)
- • Benefits in kind (vehicle, housing, etc.) valued for tax purposes
Example: industrial director with a €100k annual package: fee of 25 %, that is 25 000 € excl. VAT, i.e. 8 333 € excl. VAT as a deposit at launch and 16 667 € excl. VAT on signature of the offer of employment. For two similar roles assigned together: 23 % per role, i.e. 23 000 € excl. VAT per role, of which 7 667 € excl. VAT at launch and 15 333 € excl. VAT on signature.
Invoicing terms
Deposit, balance and exclusivity: the mandate is entrusted exclusively to the Provider for the role or roles concerned. A deposit of one third of the fees is invoiced at the launch of the assignment; it is deducted from the final invoice. The balance is invoiced on signature of the offer of employment.
Each invoice is issued when the corresponding event occurs (signature of the scoping, signed offer of employment or written confirmation of hiring). Payment within 30 days of invoice date. Late-payment penalties: 3x the statutory rate (Art. L. 441-10 French Commercial Code).
Non-refundable deposit
The launch deposit covers the work already undertaken (mapping, direct search, interviews, assessment). Once due, it remains payable to the Provider even in the event of cancellation or if no hire is made, unless the contract is terminated for proven fault of the Provider.
Article 4 - Replacement guarantee
Replacement guarantee
If the candidate hired leaves their post or the probationary period is terminated within the 3 months following their integration, Volta Executive undertakes to launch a new search at no additional cost, on the same terms as the initial assignment.
✅ Conditions of application
- • Departure occurring within the 3 months following the start date
- • Written notification of departure within 15 working days
- • Compliance with the integration process and Volta Executive’s recommendations
❌ Exclusions
- • Substantial change to the role or to the candidate’s scope of responsibility
- • Change of management, strategy or contractual terms by the Client
- • Termination linked to an internal reorganisation
Terms: New search on the same terms as the initial assignment, at no additional cost. Same level of requirement and full process.
💎 Our competitive edge
Guarantee 3 months + integration follow-up 90 days included at no extra cost(vs. competitors: a simple guarantee with no post-hire support).
Result: 96% success at 6 months, over 120 assignments analysed between 2023 and 2025, Volta Executive and previous firms.
Article 5 - Confidentiality and exclusivity
🔒 Confidentiality undertaking
Volta Executive undertakes to treat in the strictest confidence all information provided by the Client relating to:
- • The company’s organisation, strategy and projects
- • The positions to be filled, remuneration and internal challenges
- • The personal data of the candidates presented
This confidentiality undertaking applies throughout the assignment and continues without time limit after its end, unless otherwise agreed in writing or required by law.
🤝 Exclusive mandate
The mandate is entrusted exclusively to the Provider for the role concerned, for the whole duration of the assignment: the Client does not entrust the same role to another firm.
Exclusivity guarantees a coordinated search, a single approach to each executive on the market and a discreet process.
📵 Social media and communication
No executive approached and no confidential mandate is ever named on social media or on this site.
📝 NDA (Non-Disclosure Agreement)
A reinforced confidentiality agreement (NDA) may be signed at the Client’s request, in particular for executive committee hires, strategic roles or sensitive contexts (confidential replacement, unannounced project).
Article 6 - Client’s obligations
To allow the assignment to be carried out properly, the Client undertakes to:
- Provide a complete briefing: job description, challenges, context, constraints, selection criteria
- Appoint a single point of contact: a decision-making lead available for regular discussions
- Respect feedback deadlines: feedback within 5 working days at most after the candidates are presented
- Organise the interviews: within reasonable timeframes (within 10 days except in urgent cases)

Important: Failure to comply with these obligations may cause additional delays in carrying out the assignment and may affect the application of the replacement guarantee.
Article 7 - Limitation of liability
The Provider is subject to a best-efforts obligation and not an obligation of result. It undertakes to deploy all the professional means necessary to carry out the assignment.
Exclusions of liability
Volta Executive cannot be held liable for:
- • Hiring decisions made by the Client (the Provider acts in an advisory capacity; the final decision rests with the Client)
- • Inaccurate or incomplete information provided by candidates (degrees, experience) despite checks
- • Changes in the candidate’s behaviour or performance after hiring
- • The Client’s HR management decisions (management, integration path, changes to the role)
- • Force majeure events preventing the assignment from being carried out
Liability cap
In any event, Volta Executive’s liability, on all grounds combined, is limited to the amount of fees actually paid by the Client for the assignment concerned.
This limitation does not apply in the event of gross or intentional misconduct by the Provider.
Professional liability insurance
Volta Executive has taken out professional liability insurance in line with legal requirements. A certificate is available on simple request.
Article 8 - Termination and cancellation
Cancellation by the Client
The Client may cancel the recruitment assignment at any time by registered letter with acknowledgement of receipt or confirmed email.
Financial consequences:
- • Thirds already due: remain payable to the Provider (work already undertaken)
- • Candidates presented before cancellation: if hired later (within 12 months), fees are due
Suspension of the assignment
In the event of a temporary suspension requested by the Client (reorganisation, hiring freeze), the assignment is paused without additional invoicing. It may resume within 6 months. Beyond that, a new assignment applies (new launch deposit).
12-month protection clause - Deferred hiring
If a candidate presented by Volta Executive is hired directly or indirectly by the Client (or a subsidiary) within the 12 months following their presentation, the fees remain due in full (25 % of the annual gross package, 23 % per role for a mandate covering several similar roles).
This clause protects the firm’s investment (sourcing, assessment, presentation) even in the event of deferred hiring or prior cancellation of the assignment.
Article 9 - Force majeure
Force majeure events are those beyond the reasonable control of the parties, unforeseeable and irresistible, which prevent the assignment from being carried out.
In the event of force majeure, performance of the obligations is suspended. If the force majeure persists beyond 3 months, the contract may be terminated automatically without compensation on either side.
Recognised examples:
- • Natural disasters, epidemics, pandemics
- • War, riots, acts of terrorism
- • Government decisions (lockdown, closure of a sector)
- • Major failure of the Internet network or IT systems
Article 10 - Protection of personal data
In the course of carrying out the assignment, Volta Executive collects and processes personal data relating to candidates and to the Client’s contacts.
This data is processed in accordance with the General Data Protection Regulation (GDPR) and the French Data Protection Act. The Client, as data controller for its own data, warrants that it has obtained the consent of the individuals concerned for the transmission of their data to Volta Executive.
